Our New York office works as part of a single, integrated M&A practice alongside our London and Hong Kong teams, rather than as a standalone local practice.

About the Role

We are seeking an Associate to join Thornhill's New York M&A team, working on private and public transactions for corporate and private capital clients. This role offers exposure to complex, cross-border matters from the outset, and the opportunity to work directly alongside our London and Hong Kong offices on multi-jurisdictional deals rather than being limited to domestic transactions. Our M&A associates are given significant responsibility early — you should expect to be running discrete workstreams independently within your first year in the role, not simply supporting more senior lawyers.

Responsibilities
  • Support the execution of private and public M&A transactions, including due diligence, disclosure processes and completion mechanics

  • Draft transaction documentation, including purchase agreements, disclosure letters and ancillary completion documents

  • Liaise directly with clients, financial advisers and counterparties on transaction status and open issues

  • Assist with regulatory filings and coordinate with the firm's Competition and Financial Services Regulation teams on clearance processes

  • Support public company clients on takeover procedure, shareholder communications and disclosure obligations

  • Contribute to deal management, including maintaining closing checklists and coordinating signing logistics across multiple parties and time zones

  • Conduct legal research on novel or complex points arising during live transactions

Requirements
  • Admitted to practice in New York, with 2–5 years' experience in M&A at a firm with a comparable transactional practice

  • Experience with both public and private transactions strongly preferred, including familiarity with SEC disclosure requirements

  • Strong academic credentials from a top-tier law school

  • Ability to manage multiple workstreams under deadline pressure, including transactions moving on compressed or public-market timetables

  • Excellent written and verbal communication skills, with the confidence to engage directly with senior client contacts
